Disclaimer and limitation of liability

This document prevails on risk allocation for use of the Product. It supplements the Offer and EULA. Marketing pages, Telegram channels and visual design do not limit this Disclaimer.

1. Maximum exclusion — developers and Licensor

To the fullest extent permitted by law, neither the Licensor nor authors, developers, contributors, contractors, nor sales-stack hosting providers are liable to the Licensee or any third party for:

1.1. Any use of the Product, including unlawful, fraudulent, infringing, deceptive, unlicensed or criminal purposes by the Licensee, their staff, contractors, customers, site visitors, advertisers, or attackers who access the Licensee’s install.

1.2. Criminal, administrative, tax, civil, consumer, advertising or regulatory consequences of the Licensee’s activities, including fines, blocking of ads, seizure of domains, or payment-provider bans.

1.3. Loss to third parties whose rights the Licensee or the Licensee’s users infringed using the Software.

1.4. Government, court, advertiser, host or registrar action against the Licensee.

1.5. Loss from downtime, licence revocation, grace expiry, failed licence checks, misconfiguration, lost keys, missing backups, or the Licensee’s own server.

1.6. Any statement on nitrocart.ru or in Telegram about speed, ease, formats, IP limits, themes, analytics, roadmaps or prices, all of which are illustrative and not warranties.

2. No control of end use

The Product is standard commercial software of general application. After delivery of the copy / key the Licensor does not operationally control the Licensee’s servers, content, customers or advertising. That lack of control by itself excludes fault in the form of “creating conditions”, aiding, abetting or joint operation of someone else’s offence merely by supplying software.

The Licensor is not a hosting provider, publisher, advertising network, payment acquirer, or data controller of the Licensee’s shop visitors.

3. No approval of the buyer’s business model

Supply of the Software is not an endorsement of any offer, geo, vertical, traffic source or monetisation model. The Licensee must obtain their own legal advice. The Licensor does not represent that use of the Product is lawful in any particular jurisdiction.

4. Indemnity

The Licensee shall defend, indemnify and hold harmless the Licensor, developers, authors and their representatives on first demand against any claim, demand, investigation, penalty or proceeding alleging that “the Software was used unlawfully” or that the Licensor is responsible for the Licensee’s shop, ads or customers, where the matter arises from the Licensee’s or their users’ acts or omissions. This indemnity covers reasonable legal fees.

5. No refunds; exclusive remedy

Except for mandatory unwaivable rights, the Licensee is not entitled to a refund. The exclusive remedy for a confirmed defect in the distribution itself is stated in the Offer.

6. Force majeure

No liability for impossibility caused by force majeure, including global network failures, provider outages, sanctions blocks, acts of authority, or Telegram / payment-provider disruption.

7. Construction

Ambiguities are resolved to maximise the exclusion and cap of liability, except for wilful misconduct where exclusion is void. Headings do not affect meaning. If any clause is held unenforceable, the remainder continues.

8. Legal notices

Legal claims, data-subject requests and formal complaints must be sent in writing only to [email protected] (domain nitrocart.ru). Telegram, bots, social media and oral messages are not legal notice. A reply, or the absence of a reply, is not an admission of fault, liability or the validity of a claim.
